Michele Newton heard about 100 Women Who Care through a family friend who is a member of the Uxbridge chapter. It was such a simple concept that resonated and together with Barb O'Handley, Karen McDonald and Christine Gnass the Caledon chapter of 100 Women Who Care was formed. The simplicity of the 100 Women Who Care model has led to chapters all over Canada, the U.S. and abroad.

BYLAWS

Arcle I. Name
The official name of this organizaon is 100+ Women Who Care Caledon (referred to herein as 100
WWCC).
Arcle 2. Purpose
100 WWCC was launched in Caledon, Ontario in 2017. It is based on the simple concept of bringing
women together to make a large financial impact on their community. Members, or teams of members,
commit to a quarterly contribuon of $100 to a selected registered charity serving Caledon. 100+
members/teams x $100 per member/team = impact award of $10,000+.
100 WWCC is not organized for the benefit of any one person or business. It is organized for charitable
purposes. While faith based organizaons may be eligible charies, there is no implied affiliaon
between any such faith based organizaon and 100 WWCC.
Arcle 3. Polical Acvity
None of the acvies of 100 WWCC shall be associated with any polical party, propaganda, or
otherwise aempng to influence legislaon. 100 WWCC shall not parcipate in or intervene in any
polical campaign on behalf of or in opposion to any candidate for polical office.
Arcle 4. Membership
Members, or teams of up to four (4) members, of 100 WWCC commit to making an annual donaon of
$400 – given directly to local charies and non-profits serving Caledon, Ontario. Members shall fulfill
their donaon commitment even if they do not: (a) aend the quarterly meeng, or (b) vote for the
charity selected by the majority vote to receive the quarterly impact award.
Membership is connuous as long as the member remains current with quarterly contribuons. A
member may cancel her membership at any me by giving noce to the Execuve. Membership may be
automacally terminated for a member who misses two quarterly donaons within a one year period.
Members’ name may be included in a 100 WWCC Membership Directory with member approval.
Arcle 5. Quarterly Membership Meengs
Membership meengs are held four mes per year. During each meeng, three eligible charies make a
presentaon to the membership and one charity is selected by majority vote of the membership
aending that meeng to receive the organizaon’s quarterly impact award.
Each meeng is one hour in length.
Noce of the dates, mes, and locaons of quarterly meengs will be announced via e-mail and
published on the 100 WWCC website and social media.
Arcle 6. Quarterly Donaon
(a) Eligible Charies. To be eligible for consideraon, a charity must be nominated by a member who is
current with quarterly contribuons. For members who are part of a team, the enre team must be
current with quarterly contribuons. The charity must serve Caledon, Ontario and have registered
charity status. To be eligible for consideraon, a nominated charity must agree to:
1. make a five (5) minute presentaon to the membership and respond to quesons at any quarterly
meeng where they are selected for consideraon,
2. acknowledge that the funds received will not be used for general administrave purposes,
3. sign a non-disclosure form confirming they will NOT use the names of members for future solicitaons
nor give the informaon out to the public, and
4. if selected for the quarterly donaon, provide tax receipts to members acknowledging their gi for tax
purposes and return to the next quarterly meeng to inform members about the impact their gi has
made toward helping that charity serve the community.
The Execuve will confirm eligibility of nominated charies. Three charies will be randomly drawn
(witnessed by Execuve) one week before meeng, once nominaons are closed. Charies not drawn to
present at the meeng will be put back into the draw for the following meeng at the will of the
nominang member. Charies that present at the meeng and do not receive the quarterly donaon,
will not be eligible to present at the next meeng. The are eligible to be re-nominated for the 2nd
meeng beyond their last presentaon.
(b) Vong. A vong ballot is distributed to individual members and one per team at the meeng during
registraon.
Following the three presentaons at the quarterly meeng, members (individuals and teams) vote
confidenally for one of the three presenng charies to receive our quarterly donaon. The charity
with the majority vote will be the recipient of that quarter’s donaon. In the event of a e, individual
members of the Execuve will revote confidenally between the tying charies to determine, by
majority vote, the recipient of our quarterly impact award.
(c) Previous Recipients. One year aer receiving an impact award, a member may nominate that charity
for reconsideraon.
Arcle 7. Execuve
(a) General Powers and Specific Responsibilies. The acvies and affairs of 100 WWCC shall be
managed by or under the direcon of the Execuve. The Execuve will have the power to nominate,
appoint and remove all Execuve members and to establish the overall policy framework for the
organizaon in relaon to performance and responsibilies consistent with the organizaon’s mission
and with these bylaws. In addion to these general powers, the Execuve shall be responsible for:
1. Planning and coordinang quarterly membership meengs, including procurement of venue and food
donaons;
2. Veng charies;
3. Maintaining and distribung quarterly vong ballots;
4. Parcipang in quarterly membership meengs by assisng with set-up and tear down, arranging for
signage, welcoming and registering members and guests, emceeing, distribung, collecng and counng
ballots;
5. Procuring member volunteers and chairing commiees;
6. Researching, recommending, seng up, and maintaining electronic tools and capabilies that allow
the organizaon to grow and carry out its mission;
7. Distribung membership and community messages, including maintaining the organizaon’s website,
social media, and e-mail content;
8. Maintaining records for contracng with vendors, regulatory agencies, and other organizaons;
9. Strategic planning for the organizaon; and
10. Onboarding new Execuve members.
(b) Number of Execuve members. The number of Execuve members of the organizaon shall be not
less than four (4) nor more than six (6) unl changed by amendment to these bylaws by a two-thirds
vote of all exisng Execuve members.
(c) Execuve Commiee. The Execuve commiee of 100 WWCC will include the following posions.
Chair. The Chair has primary responsibility for providing leadership to the Execuve, guiding organizaon
acvies with respect to organizaonal priories, and responding to inquiries from members and other
individuals and organizaons.
Vice Chair. The Vice Chair has primary responsibility for assisng the Chair with providing leadership and
guidance to the organizaon and responding to inquiries from members and other individuals and
organizaons.
Secretary Treasurer. The Secretary has primary responsibility for maintaining bylaws, minutes, and
procedures. The Treasurer has primary responsibility for maintaining accurate membership, registraon,
and giving records, delivering quarterly donaons and other contribuons to charies, and in
conjuncon with the Chair, following up with charies for giving statements and non-solicitaon
reminders.
Members At Large. All other execuve members will be considered Members At Large. In addion to the
General Powers and Specific Responsibilies listed in subsecon (a), Members At Large shall assist the
Execuve Commiee, as needed.
(d) Execuve Meengs. The Execuve shall hold at least two (2) meengs every calendar year. Execuve
meengs may be held in person or electronically. Special meengs of the Execuve, for any purpose,
may be called at any me by the Chair or any two Execuve members.
(e) Quorum. Two-thirds of the number of all Execuve members then serving shall constute a quorum
for the transacon of business. The Execuve shall in all cases seek to deliberate and rule on the basis of
consensus, and where complete consensus is not possible, no binding decision of the Execuve may be
made by less than a majority of all Execuve members then serving.
(f) Acon without a meeng. Any acon required or permied to be taken by the Execuve may be
taken without a meeng if two-thirds of all members of the Execuve consent in wring to that acon.
Any acon by wrien consent will have the same force and effect as any other validly approved acon of
the Execuve.
(g) Volunteers and Commiees of the Execuve. Volunteers may be ulized to help carry out the
responsibilies of the Execuve. The Execuve may create one or more Commiees of the Execuve,
each consisng of one or more members, to serve as commiee coordinators at the pleasure of the
Execuve. Commiees may not vote to fill vacancies of the Execuve or any commiee coordinator
posion, amend or repeal bylaws, adopt new bylaws, appoint any other Commiees of the Execuve, or
terminate the appointment of Execuve or commiee coordinators. Meengs and acons of the
Commiees of the Execuve shall be governed by, held, and taken in accordance with the provisions of
these bylaws
Arcle 8. Dissoluon
100 WWCC may be dissolved only with authorizaon by its Execuve. Upon dissoluon or other
terminaon of 100 WWCC, all remaining assets of 100 WWCC, aer payment in full of all its debts,
obligaons, and necessary final expenses, or aer the making of adequate provisions therefore, will be
distributed to one or more of the registered charies organizaons on the acve Nominated Charies list
as chosen by a majority of the then exisng Execuve
